California Declaration of Compliance

Caris Life Sciences (“Caris”) is committed to complying with all laws and regulations that apply to our organization. Caris provides this declaration pursuant to the requirements under California Health and Safety Code, Division 104, Part 15, Chapter 8, Sections 119400-119402 (“California Health and Safety Code”).

Caris maintains a comprehensive Compliance Program that meets standards outlined in the AdvaMed Code of Ethics on Interactions with US Health Care Professionals and the OIG Compliance Guidance for Clinical Laboratories. Caris will amend applicable policies and procedures as necessary to reflect any updates and revisions to program best practices and guidance.

Caris’ Comprehensive Compliance Program

Caris’ Comprehensive Compliance program includes all seven elements as identified by OIG for an effective compliance program.

The seven elements include:

  1. Written Policies and Procedures
    1. Caris has policies and procedures that provide clear expectations and practical guidance for complying with the company’s internal guidelines as well as federal and state requirements and standards. Caris has established an annual dollar limit of $2,500 for educational and promotional activities in the state of California.
  2. Designation of a Compliance Officer
    1. Caris has a designated chief compliance officer responsible for oversight of the Compliance Program. The Chief Compliance Officer reports periodically to the Board of Directors, Chief Executive Officer and the Audit Committee regarding compliance risks and initiatives. Caris also has a Compliance Committee comprised of senior employees from various areas of the business that meets quarterly in support of the Chief Compliance Officer and the overall compliance program.
  3. Training and Education Programs
    1. Caris provides ongoing training and education programs for the entire workforce and targeted training tailored to employees that serve in sales and marketing job roles.
  4. Open Lines of Communication
    1. Caris promotes a work environment where employees are encouraged to speak up and report compliance concerns or questions. Caris has a variety of ways for employees to report compliance questions and concerns, including email, phone, directly to a member of the compliance team or leadership and online.
  5. Disciplinary Policies to Encourage Good Faith Participation
    1. Caris has established appropriate disciplinary actions for instances of noncompliance. These standards are enforced consistently across the organization.
  6. A system for Routine Identification of Compliance Risk Areas
    1. The chief compliance officer conducts ongoing evaluations of compliance processes through monitoring and regularly reports findings to the officers of the organization. The chief compliance officer has developed an annual audit plan that is designed to address the organization’s key compliance risks.
  7. Responding to Detected Offenses and Developing Corrective Action Initiatives
    1. Caris investigates potential violations of company policies and/or applicable federal and state laws. All investigations are conducted in accordance with the company’s written investigation policies and procedures. Corrective action plans are developed and implemented to address substantiated instances of noncompliance.

Caris will annually assess its Compliance Program and declares, based on a good faith understanding of the California Health and Safety Code, it is in compliance with the requirements as of November 5, 2024.
